Agreement Terms & Provisions
The following clauses govern all partner subscription tiers and digital placement on neuroregistry.co.uk.
1Contracting Parties & Commercial Relationship
This Partner Agreement and Terms of Service ("Agreement") is entered into between Clayton Digital Group (trading as "Neuro Registry", registered with the UK Information Commissioner's Office under registration reference ZC238732) and the subscribing clinical practice, healthcare organisation, or workplace neurodiversity service provider ("Partner", "Clinic", or "Provider"). By completing the subscription upgrade and ticking the acceptance box, the individual executing this Agreement warrants and represents that they possess full legal authority to bind the named organisation.
2Directory Placement & Partner Service Inclusions
Neuro Registry provides digital marketing, profile indexing, and patient/client lead referral infrastructure. Under the selected partner tier, Neuro Registry grants the Partner: (a) enhanced directory search priority and visibility; (b) verified partner trust badges; (c) active 1-click external hyperlinks to the Partner's website, direct booking portal, and telephone lines; (d) direct patient/client enquiry messaging capabilities; and (e) high-authority DoFollow search engine optimisation (SEO) backlink equity. All inclusions remain active for the duration of a valid, paid subscription.
3Professional Standards, Statutory Licensing & Regulatory Warranties
The Partner explicitly warrants and certifies that: (a) where delivering clinical medical services, assessments, diagnoses, or prescribing in the United Kingdom, all practising clinicians hold active, unblemished registrations with relevant statutory regulatory authorities including the Care Quality Commission (CQC), Healthcare Improvement Scotland (HIS), Healthcare Inspectorate Wales (HIW), the General Medical Council (GMC), Health and Care Professions Council (HCPC), or Nursing and Midwifery Council (NMC); (b) where delivering workplace coaching or non-clinical adjustments, services adhere to UK Access to Work guidelines; (c) all directory pricing, waiting times, and clinical specialisms submitted to Neuro Registry are truthful, non-misleading, and kept promptly up to date; and (d) the Partner will promptly inform Neuro Registry within five (5) working days of any regulatory sanctions, suspensions, or condition enforcements.
4Billing, Fees & Automatic Renewal
All partner plan fees are billed monthly in advance via secure automated billing managed through Stripe (regulated by the UK Financial Conduct Authority). Transactions will appear as "NEURO REGISTRY" on card and bank statements. Clayton Digital Group is not registered for UK VAT; all subscription receipts and invoices are issued with no VAT charged (0% VAT, fully deductible as an allowable commercial business expense for practice accounts). Available payment options include monthly payment by credit/debit card, Bacs Direct Debit, Sepa Direct Debit, and Link. Subscriptions automatically renew on a monthly rolling basis and all plans can be cancelled anytime directly in the clinic dashboard. If a scheduled collection fails, the Partner will be notified and provided a seven (7) day grace period to update payment details before enhanced listing features and priority positioning are paused.
5Term, Cancellation & No Long-Term Lock-In
This Agreement operates on a flexible, rolling monthly commitment with no long-term lock-in contract. The Partner may cancel their subscription at any time directly through the Neuro Registry Clinic Dashboard or by submitting written notice via email to [email protected]. Cancellation takes effect at the end of the current paid billing cycle. Fees already collected for the active billing cycle are non-refundable.
6Independent Platform & Medical Non-Endorsement Disclaimer
Neuro Registry operates exclusively as an independent informational directory and search platform. Neuro Registry does not provide medical services, diagnoses, psychiatric evaluations, or clinical advice, and does not act as an employer, partner, or legal agent of the Clinic. The Partner retains sole and absolute clinical, ethical, and legal responsibility for all clinical decisions, patient assessments, treatments, and client interactions. The Partner agrees to indemnify and hold harmless Clayton Digital Group from any third-party claims, patient disputes, or clinical negligence liabilities arising from services provided by the Partner.
7Data Protection & UK GDPR Compliance
Both parties agree to comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Patient and client enquiries submitted through the Partner's Neuro Registry profile are transferred securely to the Partner for intake purposes. The Partner acts as independent Data Controller for all patient and clinical data once received. Neuro Registry handles data in strict compliance with its ICO registration (ZC238732) and published Privacy Policy.
8Governing Law & Jurisdiction
This Agreement, its interpretation, and any disputes or claims arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales. Both parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
